These Terms of Use (“Terms“) govern your access to and use of the website located at aionglobalinc.com (the “Site“) and any related services provided by AION Global Inc. (“AION Global,” “we,” “us,” or “our“), a corporation incorporated under the laws of Canada with its principal place of business in Ottawa, Ontario.

By accessing or using our Site, you (“you” or “user“) agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site. If you are accessing or using the Site on behalf of a business or entity, you represent and warrant that you have the authority to bind that business or entity to these Terms.

1. Definitions

In these Terms, the following definitions apply:

  • “Content” means all text, images, graphics, logos, trademarks, audio, video, software, data, and other materials available on or through the Site.
  • “AION Nexus” means our AI-powered customer relationship management (CRM) platform for fintech and healthcare companies, accessible through separate subscription agreements.
  • “Services” means the information, consulting services, and technology solutions offered by AION Global, including but not limited to business management consulting and the AION Nexus platform.
  • “User Content” means any information, data, or materials you submit through the Site, including form submissions, messages, and feedback.

2. Use of the Site

2.1 Permitted Use

You may use the Site for lawful purposes only and in accordance with these Terms. The Site is intended to provide information about AION Global’s services and to facilitate communication between AION Global and prospective or existing clients.

2.2 Prohibited Conduct

You agree not to:

  • Use the Site in any way that violates any applicable federal, provincial, territorial, or international law or regulation
  • Use the Site for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way
  • Attempt to gain unauthorized access to any portion of the Site, any connected systems or networks, or any server or database associated with the Site
  • Use any robot, spider, scraper, or other automated means to access the Site or collect information from the Site without our prior written consent
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
  • Interfere with or disrupt the integrity or performance of the Site or the data contained therein
  • Attempt to decipher, decompile, disassemble, or reverse-engineer any of the software comprising or making up the Site
  • Impersonate or attempt to impersonate AION Global, an AION Global employee, another user, or any other person or entity
  • Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Site
  • Use the Site to transmit, or procure the sending of, any unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation

3. Intellectual Property Rights

3.1 Ownership

The Site and its entire contents, features, and functionality — including but not limited to all text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the design, selection, and arrangement thereof — are owned by AION Global Inc., its licensors, or other providers of such material and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

3.2 Trademarks

“AION Global,” “AION Nexus,” the AION Global logo, and all related names, logos, product and service names, designs, and slogans are trademarks or trade names of AION Global Inc. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

3.3 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site for your personal, non-commercial use or for the purpose of evaluating our services for your business. This license does not include the right to:

  • Modify or copy the Site or any Content (except for temporary caching by your browser)
  • Use any Content for any commercial purpose or public display
  • Remove any copyright, trademark, or other proprietary notices from the Content
  • Transfer the Content to another person or “mirror” the Content on any other server

This license shall automatically terminate if you violate any of these restrictions and may be terminated by AION Global at any time.

3.4 User Content

By submitting User Content through the Site (for example, via contact forms or inquiry submissions), you grant AION Global a non-exclusive, royalty-free, worldwide license to use, store, and process such content for the purpose of providing our services and responding to your inquiries. You represent and warrant that you have the right to submit such content and that it does not infringe on the rights of any third party.

4. Information on the Site

4.1 No Professional Advice

The information provided on the Site is for general informational purposes only. While we strive to keep the information current and accurate, AION Global makes no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability, or availability of the information, products, services, or related graphics contained on the Site.

Nothing on the Site constitutes, or is meant to constitute, legal, financial, tax, immigration, medical, or other professional advice. You should consult with appropriate licensed professionals before taking any action based on information obtained from the Site.

4.2 Third-Party Links

The Site may contain links to third-party websites or services that are not owned or controlled by AION Global. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. The inclusion of any link does not imply endorsement by AION Global. You acknowledge and agree that AION Global shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any such third-party website.

5. AION Nexus Platform

Access to and use of the AION Nexus platform is governed by a separate Software as a Service (SaaS) Agreement, Master Services Agreement, or other applicable contract entered into between AION Global and the subscribing client. In the event of any conflict between these Terms and the terms of an AION Nexus service agreement, the AION Nexus service agreement shall prevail with respect to the use of the AION Nexus platform.

Information on the Site regarding AION Nexus features, capabilities, and pricing is provided for informational purposes only and does not constitute a binding offer. Specific terms, service levels, and pricing will be set forth in the applicable service agreement.

6. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

7. Disclaimers

7.1 “As Is” Basis

THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, AND SERVICES PROVIDED ON OR THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AION GLOBAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

7.2 No Guarantee of Availability

AION Global does not warrant that the Site will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. We do not warrant that the results obtained from the use of the Site will be accurate or reliable. We reserve the right to modify, suspend, or discontinue the Site (or any part thereof) at any time without notice.

7.3 No Guarantee of Results

Any descriptions or references to outcomes, results, or benefits of our consulting services or AION Nexus platform on the Site are illustrative only. Past results do not guarantee future performance. Individual outcomes depend on numerous factors specific to each client’s circumstances.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AION GLOBAL INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your access to, use of, or inability to access or use the Site
  • Any conduct or content of any third party on the Site
  • Any content obtained from the Site
  • Unauthorized access, use, or alteration of your transmissions or content

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

9. Indemnification

You agree to indemnify, defend, and hold harmless AION Global Inc., its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  • Your use of the Site or any activity related to your account
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Your violation of any applicable law, regulation, or ordinance
  • Any User Content you submit through the Site

This indemnification obligation will survive the termination of these Terms and your use of the Site.

10. Governing Law and Jurisdiction

10.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

10.2 Jurisdiction

You irrevocably agree that the courts of the Province of Ontario, located in the City of Ottawa, shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation. You waive any objection to the exercise of jurisdiction over you by such courts and any objection to venue in such courts.

10.3 Dispute Resolution

Prior to initiating any formal legal proceedings, the parties agree to attempt to resolve any dispute arising out of or relating to these Terms through good-faith negotiation. Either party may initiate the negotiation process by sending written notice to the other party describing the nature of the dispute and the relief sought. The parties shall endeavor to resolve the dispute within thirty (30) days of receipt of such notice.

If the dispute cannot be resolved through negotiation within the thirty (30) day period, either party may pursue resolution through the courts as set forth in Section 10.2 above, or the parties may mutually agree to submit the dispute to mediation or binding arbitration administered in Ottawa, Ontario, in accordance with the rules of the ADR Institute of Canada.

11. Modifications to These Terms

AION Global reserves the right to modify, amend, or replace these Terms at any time at our sole discretion. When we make material changes, we will update the “Last Updated” date at the top of these Terms and post the revised Terms on the Site. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of the changes.

We encourage you to review these Terms periodically. If you do not agree with the modified Terms, you must stop using the Site.

12. Termination

We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Site will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and AION Global regarding your use of the Site and supersede any prior agreements between you and AION Global relating to the same subject matter. Separate agreements (such as an AION Nexus SaaS agreement) may apply to specific services.

13.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms, which shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

13.3 Waiver

No waiver by AION Global of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by AION Global to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may assign or transfer these Terms, in whole or in part, without restriction.

13.5 Force Majeure

AION Global shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, government actions, power failures, Internet or telecommunications failures, or cyberattacks.

13.6 Language

The parties have expressly requested that these Terms and all related documents be drawn up in English. Les parties ont expressément demandé que la présente convention ainsi que tous les documents qui s’y rattachent soient rédigés en anglais.
